Clipscene Terms of Service

1. Agreement to these Terms

By creating an account, accessing, or using the Service, you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.

A separate Privacy Policy describes how we collect and use personal information.


2. The Service

Clipscene is a video platform where users can:

  • Browse and watch short-form and long-form video content (including AI-assisted storytelling content)
  • Create an account that includes both viewer and creator capabilities
  • Publish videos organized into collections via Creator Studio
  • Follow creators, subscribe to collections for release updates, maintain watchlists, and leave ratings/comments where eligible
  • Participate in synchronized Watch Parties (including premiere parties, movie nights, and creator showcases)
  • Purchase and spend platform Coins for unlocks, tips, movie support, and in-feed gifts
  • Earn creator payouts based on qualified engagement and Coin-based support, subject to these Terms and platform rules

Parts of the catalog may be browsable without an account. Features that require an account (including Studio, Watch Parties, Coins, Settings, subscriptions management, and personal lists) are gated behind authentication.

We may change, suspend, or discontinue any part of the Service at any time, including features still in preview or launch-preparation mode.


3. Eligibility and accounts

3.1 Age

You must be at least 13 years old to create an account or use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with consent of a parent or legal guardian who agrees to these Terms.

You must be at least 18 years old (or the age of majority where you live, if higher) to:

  • Purchase Coins or make any payment on the Service
  • Receive creator payouts
  • Host or join paid interactions that require a payment method

We do not knowingly collect personal information from children under 13. If you believe a child under 13 has created an account, contact us and we will take appropriate steps.

3.2 Account registration

You must provide accurate registration information (including a valid email address and display name) and keep it updated. You are responsible for safeguarding your password and for activity under your account. Notify us promptly of unauthorized use.

3.3 One account, viewer + creator

Each Clipscene account is linked to a Creator profile automatically. There is no separate “become a creator” role. Using Creator Studio, publishing content, or receiving tips/payouts means you also accept the creator obligations in these Terms (especially §§7–11).

3.4 Admin accounts

Certain accounts may be designated as administrators for moderation, configuration, and trust/safety operations. Admin actions do not waive these Terms for any user.


4. Acceptable use

You agree not to:

  1. Violate any law, or others’ intellectual property, privacy, or publicity rights
  2. Upload or share content that is unlawful, hateful, harassing, defamatory, pornographic where prohibited, extremely graphic without appropriate context, or that promotes violence or self-harm
  3. Upload content you do not have the rights to publish (including music, footage, scripts, likenesses, or trademarks)
  4. Impersonate others or misrepresent your affiliation
  5. Manipulate engagement metrics, generate fake views, use bots, scrapers, or automated means to inflate qualified views, ratings, follows, or Coin activity
  6. Circumvent access controls, unlock paywalls, or interfere with video delivery, Watch Party sync, or anti-fraud systems
  7. Harass users in Watch Party chat, comments, profiles, or elsewhere on the Service
  8. Spam, phish, distribute malware, or attempt unauthorized access to systems or other accounts
  9. Resell, transfer, or cash out Coins except as expressly allowed for creator payouts under these Terms
  10. Use the Service to launder money or evade sanctions or payment-network rules

We may investigate violations and take action including content removal, feature limits, account suspension or termination, forfeiture of pending earnings where permitted by law, and reports to law enforcement or payment partners.


5. User content

5.1 Your ownership

You retain ownership of content you upload or submit (“User Content”), including videos, thumbnails, titles, descriptions, comments, chat messages, and profile materials, subject to licenses below and third-party rights.

5.2 License you grant to Clipscene

By submitting User Content, you grant Clipscene a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, transcode, adapt (for format/delivery), publicly perform, display, distribute, and promote that content in connection with operating, improving, and marketing the Service. This license lasts for as long as your content remains on the Service and for a reasonable period thereafter for backups, caches, and legal compliance.

5.3 Your representations

You represent and warrant that:

  • You have all rights needed to grant the licenses above
  • Your content does not infringe others’ rights
  • If your content is AI-generated or AI-assisted, you have the rights to the inputs and outputs you publish, and you will not present others’ protected works as your own
  • Your content complies with these Terms and applicable law

5.4 Visibility and publishing

Collections and videos may be public, unlisted, or private as supported by the product. Scheduling a premiere or publishing content makes it available according to those settings and our access rules (including Coin unlocks and premiere timing). We may refuse, delay, or remove publishing for safety, legal, or technical reasons.

5.5 Comments, ratings, and engagement

Ratings, comments, likes, and similar interactions may be subject to eligibility rules (for example, watching a minimum portion of a video before commenting or rating). We may hide, remove, or ignore engagement that appears fraudulent, abusive, or ineligible for payouts or rankings.

5.6 Removal

You may delete eligible content through Studio where the product allows (for example, collections with no videos). We may retain copies as needed for legal, security, dispute, or backup purposes. Removing content does not entitle you to a refund of Coins spent by others related to that content.


6. Coins (virtual currency)

6.1 Nature of Coins

Coins are a limited, non-monetary digital item usable only on Clipscene for supported features (including video unlocks, tips, movie support, and gifts/celebrations). Coins are not legal tender, securities, or stored-value redeemable for cash by purchasers.

6.2 Rate and purchase

Unless we announce otherwise, the face reference rate is 100 Coins = US$1.00 (1 Coin = US$0.01 face value). Packages and custom purchase amounts may be offered. Purchases are processed by our payment provider (currently Stripe Checkout where enabled).

6.3 Non-refundable; non-transferable

Except where required by law or expressly stated by us in writing:

  • Coin purchases are final and non-refundable
  • Coins are non-transferable between user accounts
  • Purchasers cannot cash Coins out to fiat currency
  • Unused Coins have no cash value outside the Service

If a payment is charged back or reversed, we may debit Coins, suspend features, reverse related creator credits, and recover amounts owed.

6.4 Spending and creator share

When you spend Coins on unlocks, tips, movie support, or gifts, the applicable creator typically receives a credited share of face value under our then-current rules (platform default: 70% of Coin face value to the creator, subject to holds, fees, taxes, and adjustments). The remainder is retained by Clipscene as a platform fee. Specific product UI amounts control the spend; ledger rules control creator credit.

6.5 Changes

We may change Coin packages, rates, eligible spend actions, or fees with notice where required. We are not responsible for loss of Coins due to account termination for cause, unauthorized access you fail to secure, or Service changes made in good faith.


7. Creator earnings and payouts

7.1 No guarantee of earnings

Publishing content does not guarantee views, tips, unlocks, level progression, or payouts. Rates, thresholds, hold periods, and qualification rules are set by Clipscene (including via admin-configurable platform settings) and may change.

7.2 Earnings sources

Creator earnings may include, without limitation:

  • Qualified-view / Creator Fund accruals based on eligible views and your Creator Level rate (for example, payout ≈ qualified views ÷ 1,000 × level rate)
  • Coin-funded credits from tips, movie support, video unlocks, and similar spends, subject to revenue share

7.3 Qualified views and integrity

Only views that meet our integrity rules may count toward fund earnings. Rules may include unique-viewer deduplication, minimum watch duration, bot/fraud detection, and video rating thresholds after sufficient ratings. We may exclude, reverse, or withhold amounts tied to invalid activity.

7.4 Creator Level and Trust Score

Creator Levels affect fund rates. Advancement depends on published criteria such as quality videos, retention, engagement, returning viewers, and Trust Score. Trust Score and penalties (for fraud, copyright, policy, payout holds, chargebacks, etc.) may be applied after review. Trust Score is not a public profile metric.

7.5 Holds, states, and minimum payout

Earnings typically move through states such as pending → approved → available → paid out, and may be placed on hold, failed, reversed, or cancelled. Default hold periods (subject to change) include longer holds for fund accruals (e.g., about 30 days) and shorter holds for tip/support/unlock credits (e.g., about 7–14 days). Payouts require meeting a minimum threshold (default US$25) and a valid payout method.

7.6 Payout method (Stripe Connect)

Creator payouts are processed via third-party payout providers (e.g., Stripe Connect Express). You must complete required onboarding, identity verification, and tax information. Payout availability depends on provider rules, your country, and compliance checks. Clipscene is not a bank.

7.7 Taxes

You are solely responsible for taxes arising from earnings. We or our payment partners may collect tax forms (e.g., W-9 / W-8BEN) and issue required information returns where applicable.

7.8 Forfeiture and set-off

We may withhold, set off, or reverse earnings for fraud, chargebacks, copyright claims, Terms violations, or amounts you owe us, to the extent permitted by law.


8. Subscriptions and notifications

“Subscribe” on a collection means opting into release updates for that collection. Unless we launch a separate paid subscription product and disclose its price, collection subscriptions are not a paid membership and do not by themselves unlock premium access.

You can manage certain notification preferences in Settings. Transactional messages (security, receipts, essential account notices) may still be sent.


9. Watch Parties

Watch Parties enable synchronized viewing, chat, reactions, agendas (for showcases), and related social features. Hosts and participants must follow acceptable-use rules. Inviting others by email or username must be done only with people who expect contact from you. We may remove parties, mute chat, or restrict hosting for abuse or technical abuse of sync infrastructure.

Party features may process invitee contact details you provide solely to deliver invitations and related notices.


10. Reporting and moderation

Users may report videos for reasons such as hate speech, spam, copyright, misleading content, violence, or other policy concerns, subject to rate limits. We may review reports, request more information, dismiss or resolve reports, remove or restrict content, apply trust penalties, and take account action.

We do not promise that every report will result in removal, or that moderation will be instantaneous. Automated and human review may both be used as capabilities expand.


11. Intellectual property of Clipscene

The Service—including software, design, trademarks, logos, and Clipscene-owned media libraries—is owned by Clipscene or its licensors. Except for your User Content and rights expressly granted, no license is granted to you. You may not copy, reverse engineer (except to the extent allowed by law), or frame the Service without permission.


12. Copyright complaints (DMCA)

If you believe content on Clipscene infringes your copyright, send a notice to [DMCA@CLIPSCENE.APP] including:

  1. Your physical or electronic signature
  2. Identification of the copyrighted work
  3. Identification of the allegedly infringing material and its location (URL)
  4. Your contact information
  5. A statement of good-faith belief that use is not authorized
  6. A statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act
  7. As applicable, information required by 17 U.S.C. §512

We may remove or disable access to material and, in appropriate circumstances, terminate repeat infringers’ accounts. If your content was removed, you may send a counter-notice as permitted by law.


13. Third-party services

The Service relies on third parties such as payment processors (e.g., Stripe), email providers (e.g., Mailgun), cloud hosting and storage (e.g., AWS, Cloudflare R2), and authentication infrastructure. Their terms and privacy policies apply to their services. We are not responsible for third-party outages or decisions (including payment declines or Connect onboarding failures).


14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPSCENE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE AVAILABLE INDEFINITELY.

AI-assisted or AI-generated content may be inaccurate, unexpected, or offensive; you consume and publish it at your own risk subject to these Terms.


15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPSCENE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR COINS, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CLIPSCENE FOR COINS IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) US$100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.


16. Indemnity

You will defend and indemnify Clipscene against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, your Coin or payout activity, or your violation of these Terms or others’ rights.


17. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access immediately for Terms violations, legal risk, non-payment/chargebacks, or prolonged inactivity. Upon termination for cause, we may cancel pending eligibility for payouts tied to abusive activity. Provisions that by nature should survive (including licenses for already-distributed content to the extent needed, IP, disclaimers, liability limits, indemnity, and dispute terms) will survive.


18. Governing law and disputes

These Terms are governed by the laws of [STATE / COUNTRY], excluding conflict-of-law rules.

19. Miscellaneous

  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Export / sanctions. You may not use the Service if you are prohibited under applicable sanctions or export laws.
  • Force majeure. We are not liable for delays or failures due to events beyond reasonable control.
  • Language. If these Terms are translated, the English version controls unless local law requires otherwise.
